welcome to soundromeda.com! these terms of service ("terms") govern your access to and use of the soundromeda website, applications, and services (collectively, the "services"). the services combine music gaming with web3 technologies and artificial intelligence, offering a unique interactive experience.

please read these terms carefully before using our services. by accessing or using the services, you agree to be bound by these terms and our privacy policy. if you do not agree to these terms, you may not access or use the services.

1. acceptance of terms

by creating an account, accessing, or using any part of the services, you confirm your acceptance of these terms and any future amendments, and your agreement to abide by them. if you are using the services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these terms, and "you" and "your" will refer to that entity.

2. changes to terms

we reserve the right, at our sole discretion, to modify or replace these terms at any time. if a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. what constitutes a material change will be determined at our sole discretion. by continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms.

3. account registration and security

eligibility: you must be at least 13 years old to use the services. by creating an account, you represent and warrant that you meet this age requirement. if you are under 18, you represent that you have obtained parental or guardian consent to use the services.

wallet connection: our services integrate with web3 wallets. by connecting your wallet, you acknowledge and agree that you are solely responsible for the security of your wallet and its contents. soundromeda is not a custodian of your digital assets and is not responsible for any loss or theft of assets from your connected wallet.

4. your use of the services

license to use: we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the services for your personal, non-commercial entertainment purposes, subject to these terms.

prohibited conduct: you agree not to:

use the services for any illegal or unauthorized purpose.

engage in any activity that interferes with or disrupts the services (or the servers and networks which are connected to the services).

attempt to gain unauthorized access to any portion or feature of the services, or any other systems or networks connected to the services or to any soundromeda server.

upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the services.

infringe upon or violate our intellectual property rights or the intellectual property rights of others.

harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

submit false or misleading information.

collect or track the personal information of others.

spam, phish, pharm, pretext, spider, crawl, or scrape.

use the services for any obscene or immoral purpose.

bypass or circumvent the security features of the services.

soundromeda reserves the right to remove any user-generated content or suspend/terminate accounts that violate these terms or are otherwise objectionable, at our sole discretion.

user-generated content: you retain all rights in, and are solely responsible for, the user-generated content you create, upload, or share on the services. by sharing user-generated content, you grant soundromeda a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the services and soundromeda's business. you represent and warrant that your user-generated content does not violate any third-party rights or any applicable laws.

5. intellectual property rights

all content, features, and functionality on the services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the exclusive property of soundromeda or its licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. web3 and digital assets

blockchain transactions: your interaction with web3 features, including the purchase, sale, or transfer of nfts or other digital assets within the services, occurs on public blockchains. soundromeda facilitates these interactions but does not control the blockchain networks. all transactions are irreversible once confirmed on the blockchain. you acknowledge that blockchain transactions may incur fees (e.g., gas fees) for which you are solely responsible.

ownership of digital assets: any nfts or other digital assets you acquire through the services are owned by you. soundromeda does not provide custody services for these assets. you are solely responsible for managing and securing your digital assets in your connected wallet.

risks associated with digital assets: you understand and agree that digital assets, including nfts and any potential in-game tokens, are subject to significant risks including, but not limited to, price volatility, lack of liquidity, technological failures, smart contract bugs, regulatory uncertainty, and potential for loss. you acknowledge that soundromeda is not responsible for any such risks or losses.

marketplace (if applicable): if soundromeda provides a marketplace for digital assets, its use will be subject to additional terms and conditions specified on the marketplace. soundromeda is not responsible for the actions or inactions of third-party marketplaces or external users.

ai-generated assets: any music artist assets generated by our ai within the services are provided for your use in accordance with these terms and any specific licenses granted upon creation. while you may use these assets within the services for personal purposes, soundromeda retains underlying intellectual property rights where applicable to the ai model and its outputs. any commercial use of ai-generated assets outside of the services may require a separate license or agreement from soundromeda.

tax responsibilities: you are solely responsible for compliance with any tax obligations arising from your transactions involving digital assets on or through the services.

7. ai functionality

ai interaction: our services incorporate ai features to enhance gameplay, personalization, and content generation (e.g., music artist asset generation). you acknowledge that ai outputs may sometimes be imperfect, unexpected, or require refinement. we do not guarantee the accuracy, completeness, or reliability of any ai-generated content.

no generative music (as previously stated in your privacy policy): soundromeda's ai is primarily used for narrative, in-game characters and companions, and music artist asset generation, and does not support or condone generative music that would infringe on existing copyrights.

input data: by providing inputs to our ai features, you grant soundromeda the right to process and use that input data to generate outputs and to improve our ai models, consistent with our privacy policy.

evolution of ai: you understand that ai technologies are rapidly evolving. soundromeda reserves the right to update, modify, discontinue, or alter the functionality of its ai features and models at any time without prior notice.

8. third-party links and services

the services may contain links to third-party websites or services that are not owned or controlled by soundromeda (e.g., external wallet providers, game distribution platforms). soundromeda has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. you acknowledge and agree that soundromeda shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. we strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

9. disclaimers

the services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. soundromeda hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

soundromeda does not warrant that the services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the services are free of viruses or other harmful components.

10. limitation of liability

to the fullest extent permitted by applicable law, in no event will soundromeda, its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. indemnification

you agree to defend, indemnify, and hold harmless soundromeda, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these terms or your use of the services, including, but not limited to, your user-generated content, any use of the services' content, services, and products other than as expressly authorized in these terms, or your use of any information obtained from the services.

12. governing law and jurisdiction

these terms shall be governed and construed in accordance with the laws of the state of california, united states, without regard to its conflict of law provisions.

any legal action or proceeding arising out of or related to these terms or the services shall be instituted exclusively in the federal or state courts located in santa monica, california. you waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. termination

we may terminate or suspend your account and access to the services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these terms. upon termination, your right to use the services will immediately cease. if you wish to terminate your account, you may simply discontinue using the services.

14. miscellaneous

entire agreement: these terms and our privacy policy constitute the entire agreement between you and soundromeda regarding the services.

waiver and severability: no waiver by soundromeda of any term or condition set forth in these terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of soundromeda to assert a right or provision under these terms shall not constitute a waiver of such right or provision. if any provision of these terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the terms will continue in full force and effect.
